1. Introduction and Scope

Mendoura ("the Platform," "we," "us") is an online learning platform that allows registered users to access recorded educational content (Students), and allows content creators (Instructors) to contribute courses to the Platform's catalog, which Mendoura then offers to Students. Mendoura is the sole seller of record for all Platform transactions. The Platform is open to Students and Instructors of any nationality or country of residence, unless otherwise stated.

By using the Platform, whether as a Student or an Instructor, you agree to these Terms & Conditions in full. If you do not agree, you must stop using the Platform immediately.

2. Accounts

• Users must be 18 years or older to independently create and manage their own account. The Platform also offers courses for children: a child of any age may use the Platform only through an account created and managed by a parent or legal guardian, who is responsible for that child's use of the Platform.
• Users are solely responsible for the accuracy of the information they provide and for keeping their login credentials confidential.
• Accounts are personal and may not be shared or transferred to any other party. Sharing an account may result in permanent account closure without refund.
• The Platform reserves the right to suspend or terminate any account that violates these Terms without prior notice.

3. Student Accounts

• A Student receives a limited, non-exclusive, non-transferable license to access content they have paid for (via a single-course purchase or a subscription), for personal, educational use only.
• Copying, redistributing, reselling, screen-recording, or sharing any content accessed through the Platform with any third party is prohibited.
• Single-course purchase (Pay per course): grants lifetime access to that specific course, for as long as the content remains available on the Platform for legal or policy reasons.
• Subscription access: grants access to all courses included in the subscription plan for the duration of the active subscription only. Access ends when the subscription expires or is cancelled — this is not a lifetime access license.

4. Instructor Accounts

• Individuals of any nationality may register as an Instructor, subject to the identity verification criteria set by the Platform.
• Instructors retain full intellectual property ownership of the content they create, while granting the Platform a non-exclusive license to display, distribute, and promote that content through the Platform and its marketing channels.
• Instructors warrant that their content is original and does not infringe any third party's intellectual property rights, and bear full legal responsibility for any such infringement.
• The Platform reserves the right to review or remove any content that violates its policies or applicable law.
• Course availability for enrolled Students: An Instructor may unpublish a course at any time (subject to the Script Only minimum publication period below), which removes it from the catalog for new Students, but never revokes or interrupts access for Students who already purchased or enrolled in it before unpublishing — those Students keep their lifetime access as described in Section 3. Deleting a course, or removing its content outright, is never allowed once it has any enrolled Students; an Instructor may continue to update or improve such a course's content, but may not delete it or withdraw existing Students' access to it. This restriction does not apply to a course with no enrolled Students, which remains fully within the Instructor's discretion to modify, unpublish, or delete.
• Premium Courses: An Instructor may, at their own discretion, designate a course as "Premium," provided the course has not yet been purchased or enrolled in by any Student. A Premium designation excludes that course entirely from any Platform subscription plan (Monthly or Yearly) — it becomes available exclusively via individual purchase. Standard Instructor compensation (as set out in Section 5) applies to Premium course sales in the same manner as any other individually purchased course; Premium courses are simply excluded from the subscription revenue-sharing pool described in Section 5.
• Script Only courses — minimum publication period: For courses produced under the Script Only (50%) production model, the Instructor may not unpublish or delete the course for a period of 6 months from its original publish date, in recognition of the production resources invested by the Platform in editing and producing that course's video. This restriction applies regardless of enrollment status, and is in addition to (not a substitute for) the restriction on courses with enrolled Students described above. Once 6 months have passed since the original publish date, the course becomes subject to that same enrolled-Students restriction like any other course. This restriction does not apply to courses produced under the Full Production (70%) model, where the Instructor supplied their own video.

5. Instructor Compensation

Mendoura calculates Instructor compensation based on the following structure:

Notes on revenue distribution:

• For subscriptions, each Instructor's share of the pooled subscription revenue for a given period is calculated based on subscribing Students' watch time of that Instructor's courses, relative to total watch time across all courses on the Platform during that same period.
• The Platform reserves the right to modify these revenue-share percentages in the future, provided Instructors are given reasonable advance notice, and no change applies retroactively to already-completed, paid transactions.
• In case of a dispute over who produced/edited a given course, the documented record between the Instructor and the Platform's team at the time of course submission shall govern.

6. Instructor Payment Mechanics

• Sole merchant of record: Mendoura is the sole merchant of record for all Student payments and receives 100% of Student payments directly through its payment processor. Instructor compensation is calculated and transferred separately by Mendoura, and is not an automated split payment made through the payment processor.
• When earnings become available: Earnings from an individual course sale become available for payout 14 days after the sale (a standard hold period covering the refund window in Section 8). Earnings from the subscription revenue pool become available on a rolling basis tied to each subscription distribution period (approximately monthly), not a fixed calendar-month cutoff -- an Instructor earns a share of a given period's pool only to the extent a subscriber actually consumed their content during that period.
• Requesting a payout: Payouts are Instructor-initiated on request, not issued automatically by the Platform on a fixed schedule. An Instructor may request a payout of their available balance at any time, provided it meets the minimum threshold below, subject to a cooldown of once every 7 days between requests.
• Minimum payout threshold: A payout may be requested once an Instructor's accumulated, available balance reaches 500 EGP (Instructors based in Egypt) or the equivalent of $25 USD (international Instructors, paid via Payoneer). A balance below this threshold simply continues to accumulate until it is reached.
• Payment method by location:
• Instructors based in Egypt are paid via a licensed local payment processor, to a valid Egyptian bank account or supported payment method linked to their account.
• International Instructors (outside Egypt) are paid via Payoneer, and must maintain a valid, verified Payoneer account to receive payouts, as set out below.
• Accuracy of payout details: Instructors are solely responsible for providing and maintaining accurate payout information (bank details, Payoneer account, etc.). The Platform is not liable for payment delays, losses, or misdirected funds resulting from inaccurate or outdated Instructor payout information.
• Right to withhold: The Platform reserves the right to withhold, delay, or deny a payout in cases of suspected fraud, a pending refund/chargeback dispute, a violation of these Terms, or where required by law.
• Payment processing fee: A separate payment processing fee is added on top of the course or subscription price and charged to the Student at checkout — it is calculated on, and in addition to, the displayed course or plan price. This fee is not deducted from the Instructor's revenue share: the Instructor's compensation (per Section 5) is calculated on the course or subscription price before this fee is added.
• International Instructor payouts: International Instructors (outside Egypt) must maintain a valid, verified Payoneer account in order to register as an Instructor and receive payouts. Mendoura initiates and transfers Instructor compensation to the registered Payoneer account directly and independently of the payment processor, on the defined payment cycle. The Platform is not responsible for delays or issues caused by the Instructor's own Payoneer account (e.g., verification holds, incorrect account details).

7. Taxes (Instructor Responsibility)

• Mendoura is not responsible for any Instructor's personal or business tax obligations. Each Instructor, regardless of nationality or country of residence, is solely and independently responsible for determining, declaring, and paying any income tax, VAT, withholding tax, or other applicable taxes arising from their earnings on the Platform, in accordance with the laws of their own country of tax residence.
• Mendoura's responsibility is limited to its own corporate tax obligations as a platform operating under Egyptian law, and does not extend to acting as a tax withholding agent or tax advisor for any Instructor, unless required to do so by binding Egyptian law.
• Instructors are encouraged to consult their own tax advisor regarding their specific obligations.

8. Payments and Refunds

• Displayed prices are exclusive of the payment processing fee: checkout shows the course or plan price and the applicable payment processing fee as two separate line items, plus the total you will actually be charged, before you complete payment. Displayed prices include any applicable taxes under Egyptian law unless stated otherwise.
• Platform subscriptions (Monthly/Yearly) are non-refundable once payment is completed.

• Individual course refund eligibility: A Student may request a full refund for an individually purchased course (not applicable to subscriptions) within 14 calendar days of the purchase date, provided that:

  • The Student has not consumed more than 25% of the course's total video content, and
  • No certificate of completion has been issued for that course.

  To request a refund, the Student may submit an in-app refund request from their Platform account, or contact support@mendoura.com providing the course title and purchase date. The Platform will review and respond to refund requests within 5–7 business days. Approved refunds are issued to the original payment method within an additional period of up to 14 business days, subject to the processing times of the relevant payment provider.

  Impact on Instructor compensation: If a refund is approved for an individually purchased course, the corresponding Instructor's compensation for that transaction will be deducted from their pending payable balance, or from their next payout if it has already been disbursed.

• Automatic renewal: A subscription renews automatically only where automatic (card) renewal is available on the Platform and has been enabled for the payment method used for that subscription. Where automatic renewal is not available or not enabled for a given subscription, the Student instead receives a reminder email before the current term expires and must renew manually to continue access; if no manual renewal is made, the subscription simply expires at the end of its paid term and access ends, with no further charge.

• Saved payment methods: Where a Student subscribes using a card and automatic renewal is enabled for that plan, the Platform (via its payment processor) retains a tokenized reference to that card for the sole purpose of processing future renewal charges. The Platform never stores the Student's full card number. A Student may remove this authorization at any time by cancelling automatic renewal from their account.
• Renewal attempts (where automatic renewal applies): If an automatic renewal charge is unsuccessful, the Platform will retry up to three (3) times over a four (4)-day period. Access continues uninterrupted during this period. If all attempts fail, the subscription ends and access is revoked.
• Cancelling automatic renewal: Where automatic renewal applies to a subscription, a Student may cancel it at any time by logging into their Mendoura account and selecting "Cancel Subscription" from their subscription settings. Cancelling stops only the next renewal — the Student retains full access through the end of the term already paid for.
• Payment processing: Payments made on the Platform are processed through licensed third-party payment processors, which may differ depending on whether the transaction is local (inside Egypt) or international. Mendoura is the sole merchant of record for these transactions and receives 100% of the Student payment directly. The Platform does not store full card details; all payment processing is handled by these licensed providers, subject to their own security and processing policies.

9. Conduct Rules

Users (Students and Instructors) may not:

• Post content that violates Egyptian or international law, incites hatred, or discriminates based on religion, ethnicity, gender, or disability.
• Impersonate others or provide misleading information.
• Attempt to hack, manipulate, or scrape the Platform's systems using automated tools or bots without authorization.
• Use the Platform for any unauthorized commercial purpose outside the agreed educational scope.

10. Limitation of Liability

The Platform's services are provided "as is" and "as available," without express or implied warranties regarding accuracy, continuity, or freedom from technical faults. The Platform is not liable for indirect or consequential damages arising from use of the Service, and its maximum liability in any case is limited to the amount the user paid during the 12 months preceding the claim.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt, and the courts of Egypt shall have jurisdiction over any dispute arising from them, without prejudice to the rights of users outside Egypt under any mandatory consumer-protection law of their own jurisdiction that may apply.

12. Changes to These Terms

The Platform reserves the right to modify these Terms at any time, notifying users of material changes via registered email or an in-platform notice. Continued use of the Platform after such changes constitutes acceptance of them.
