1. Introduction and Scope

Mendoura ("the Platform," "we," "us") is an online learning platform that allows registered users to access recorded and live educational content (Students), and allows content creators (Instructors) to contribute courses to the Platform's catalog, which Mendoura then offers to Students. Mendoura is the sole seller of record for all Platform transactions. The Platform is open to Students and Instructors of any nationality or country of residence, unless otherwise stated.

By using the Platform, whether as a Student or an Instructor, you agree to these Terms & Conditions in full. If you do not agree, you must stop using the Platform immediately.

2. Accounts

• Users must be 18 years or older to independently create an account. Minors (under 18, but above the age of consent for online services in their country) may only use the Platform under a parent or legal guardian's supervision and consent.
• Users are solely responsible for the accuracy of the information they provide and for keeping their login credentials confidential.
• Accounts are personal and may not be shared or transferred to any other party. Sharing an account may result in permanent account closure without refund.
• The Platform reserves the right to suspend or terminate any account that violates these Terms without prior notice.

3. Student Accounts

• A Student receives a limited, non-exclusive, non-transferable license to access content they have paid for (via a single-course purchase or a subscription), for personal, educational use only.
• Copying, redistributing, reselling, screen-recording, or sharing any content accessed through the Platform with any third party is prohibited.
• Single-course purchase (Pay per course): grants lifetime access to that specific course, for as long as the content remains available on the Platform for legal or policy reasons.
• Subscription access: grants access to all courses included in the subscription plan for the duration of the active subscription only. Access ends when the subscription expires or is cancelled — this is not a lifetime access license.

4. Instructor Accounts

• Individuals of any nationality may register as an Instructor, subject to the identity verification criteria set by the Platform.
• Instructors retain full intellectual property ownership of the content they create, while granting the Platform a non-exclusive license to display, distribute, and promote that content through the Platform and its marketing channels.
• Instructors warrant that their content is original and does not infringe any third party's intellectual property rights, and bear full legal responsibility for any such infringement.
• The Platform reserves the right to review or remove any content that violates its policies or applicable law.
• Course availability for enrolled Students: Once a course has been approved and made available on the Platform, and a Student has purchased or enrolled in it, the Instructor may not delete that course, remove its content, or request its removal from the Platform in a manner that would revoke or interrupt access for Students already enrolled. Instructors may continue to update or improve a course's content, but may not withdraw a course from Students who have already purchased or enrolled in it. This restriction does not apply to a course with no enrolled Students, which remains fully within the Instructor's discretion to modify or remove.
• Premium Courses: An Instructor may, at their own discretion, designate a course as "Premium," provided the course has not yet been purchased or enrolled in by any Student. A Premium designation excludes that course entirely from any Platform subscription plan (Monthly or Yearly) — it becomes available exclusively via individual purchase. Standard Instructor compensation (as set out in Section 5) applies to Premium course sales in the same manner as any other individually purchased course; Premium courses are simply excluded from the subscription revenue-sharing pool described in Section 5.

5. Instructor Compensation

Mendoura calculates Instructor compensation based on the following structure:

Notes on revenue distribution:

• For subscriptions, each Instructor's share of pooled subscription revenue is calculated based on a fair usage/consumption methodology (e.g., minutes watched or lessons completed by subscribing students), detailed further in a separate Instructor Agreement.
• The Platform reserves the right to modify these revenue-share percentages in the future, provided Instructors are given reasonable advance notice, and no change applies retroactively to already-completed, paid transactions.
• In case of a dispute over who produced/edited a given course, the documented record between the Instructor and the Platform's team at the time of course submission shall govern.

6. Instructor Payment Mechanics

• Sole merchant of record: Mendoura is the sole merchant of record for all Student payments and receives 100% of Student payments directly through its payment processor. Instructor compensation is calculated and transferred separately by Mendoura, and is not an automated split payment made through the payment processor.
• Payout schedule: Instructor earnings are calculated monthly and paid out on the 30th of each month, covering revenue earned or consumed during the previous calendar month.
• Minimum payout threshold: Payouts are issued once an Instructor's accumulated, payable balance reaches $25 USD (or the equivalent of 500 EGP). Balances below this threshold roll over to the next payment cycle, except at year-end where the Platform may, at its discretion, issue any remaining balance regardless of threshold.
• Payment method by location:
• Instructors based in Egypt are paid via a licensed local payment processor, to a valid Egyptian bank account or supported payment method linked to their account.
• International Instructors (outside Egypt) are paid via Payoneer, and must maintain a valid, verified Payoneer account to receive payouts, as set out in Section 8 below.
• Accuracy of payout details: Instructors are solely responsible for providing and maintaining accurate payout information (bank details, Payoneer account, etc.). The Platform is not liable for payment delays, losses, or misdirected funds resulting from inaccurate or outdated Instructor payout information.
• Right to withhold: The Platform reserves the right to withhold, delay, or deny a payout in cases of suspected fraud, a pending refund/chargeback dispute, a violation of these Terms, or where required by law.
• Deductions before payout: Payouts reflect the Instructor's revenue share (per Section 5) after deduction of any payment gateway or processing fees applicable to the underlying transaction.

7. Taxes (Instructor Responsibility)

• Mendoura is not responsible for any Instructor's personal or business tax obligations. Each Instructor, regardless of nationality or country of residence, is solely and independently responsible for determining, declaring, and paying any income tax, VAT, withholding tax, or other applicable taxes arising from their earnings on the Platform, in accordance with the laws of their own country of tax residence.
• Mendoura's responsibility is limited to its own corporate tax obligations as a platform operating under Egyptian law, and does not extend to acting as a tax withholding agent or tax advisor for any Instructor, unless required to do so by binding Egyptian law.
• Instructors are encouraged to consult their own tax advisor regarding their specific obligations.

8. Payments and Refunds

• Displayed prices are final and include any applicable taxes under Egyptian law unless stated otherwise.
• Platform subscriptions (Monthly/Yearly) are non-refundable once payment is completed.

• Individual course refund eligibility: A Student may request a full refund for an individually purchased course (not applicable to subscriptions) within 14 calendar days of the purchase date, provided that:

  • The Student has not consumed more than 25% of the course's total video content, and
  • No certificate of completion has been issued for that course.

  To request a refund, the Student must contact support@mendoura.com, providing the course title and purchase date. The Platform will review and respond to refund requests within 5–7 business days. Approved refunds are issued to the original payment method within an additional period of up to 14 business days, subject to the processing times of the relevant payment provider.

  Impact on Instructor compensation: If a refund is approved for an individually purchased course, the corresponding Instructor's compensation for that transaction will be deducted from their pending payable balance, or from their next payout if it has already been disbursed.

• Subscriptions renew automatically according to the selected plan (Monthly/Yearly) until the user cancels auto-renewal before the next renewal date.

• Payment processing: Payments made on the Platform are processed through licensed third-party payment processors, which may differ depending on whether the transaction is local (inside Egypt) or international. Mendoura is the sole merchant of record for these transactions and receives 100% of the Student payment directly. The Platform does not store full card details; all payment processing is handled by these licensed providers, subject to their own security and processing policies.
• International Instructor payouts: International Instructors (outside Egypt) must maintain a valid, verified Payoneer account in order to register as an Instructor and receive payouts. Mendoura initiates and transfers Instructor compensation to the registered Payoneer account directly and independently of the payment processor, on the defined payment cycle. The Platform is not responsible for delays or issues caused by the Instructor's own Payoneer account (e.g., verification holds, incorrect account details).

9. Conduct Rules

Users (Students and Instructors) may not:

• Post content that violates Egyptian or international law, incites hatred, or discriminates based on religion, ethnicity, gender, or disability.
• Impersonate others or provide misleading information.
• Attempt to hack, manipulate, or scrape the Platform's systems using automated tools or bots without authorization.
• Use the Platform for any unauthorized commercial purpose outside the agreed educational scope.

10. Limitation of Liability

The Platform's services are provided "as is" and "as available," without express or implied warranties regarding accuracy, continuity, or freedom from technical faults. The Platform is not liable for indirect or consequential damages arising from use of the Service, and its maximum liability in any case is limited to the amount the user paid during the 12 months preceding the claim.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt, and the courts of Egypt shall have jurisdiction over any dispute arising from them, without prejudice to the rights of users outside Egypt under any mandatory consumer-protection law of their own jurisdiction that may apply.

12. Changes to These Terms

The Platform reserves the right to modify these Terms at any time, notifying users of material changes via registered email or an in-platform notice. Continued use of the Platform after such changes constitutes acceptance of them.
